Board of Directors’ Meeting

A. Call to Order – President Mike Nugent called the meeting to order at 9:06 a.m.

B. Calling of the Roll of Officers: Mike Nugent, Freeman Abbott, Dabney Lewis, Bruce Smith, Kathy Joiner, Paul Demers, Chris Hanson, Jodine Adams, Barbara Skelton, and Melissa Carver (MMA).

Guest:  Dick Lambert

Absent:  Tom Maynard, Geoff Smith
 
It was determined there was a quorum.  

C. Reading of the Minutes of the Previous Meeting: 

February 17, 2011 – Motion made by Freeman Abbott, seconded by Bruce Smith, there was no discussion and all approved the February 17, 2011 Board minutes as written. 

D. Communications and Bills:  No discussion.

E. Report of Officers’ and Treasurers’ Report:  Barbara Skelton reported she does not have an official Treasurer’s report, but did report that there is currently a balance of $15,686.32 in the checkbook.  There are a couple batches from MMA pending deposit. MBOIA has both a State and Federal filing requirement for non-profit status and both have been completed for 2010. 

F. Report of Committees:

1. Legislative Updates:  Mike Nugent reported the LD 43 victory last week for Bill not ought to pass (to repeal the Bill). There was brief discussion regarding Energy and Building Code Bills coming up – stay tuned for further details.  
   
   
2. By-Law Amendments:  No discussion.
   
   
   
3. Education Committee: 
   a) Spring Code Conference:  The Board worked on assigning members as session moderators using the volunteer schedule (see list – all slots have been filled).  There was a brief discussion regarding ordering laptop/saddle bags, shopper bags or canvas portfolios/note pad holders with MBOIA logo to have available at the Code Conference to give to attendees and to have on-hand to send to new members.  Paul Demers will do more research on prices.  Paul will send out 3 options to the Board, and they will do an electronic vote to determine which item to purchase.
   
   b)   June Speaker:  The topic of insulation was recommended so Mike Nugent will look to contact – insulators/builders for a June speaker
   
   
4. Nominations Committee (based on the By-law change, we need to elect new Board members).  Mike Nugent advised that Geoff Smith needs to step down, but there is a gentleman interested in being on the Board.  The plan will be to appoint new Board members in June.
   
   
5. ESBOF and NEBOEA:  Bruce Smith and Paul Demers reported there is an NEBOEA Conference scheduled for the first week in October.  Additional representation, for these groups, is to be determined.
   
   
6. Membership Committee – Outreach for new members:  No discussion.

G. Unfinished Business:

1. Building Official of the Year Selection Criteria – No report, hold for June meeting.

H. New Business – Freeman Abbott has the MBOIA sound system that he will get to Mike Nugent.   

1. New Members to approve: 

a. Subscribing Member Applications: James Nadeau, Professional Land Surveyor-Portland; Stephen Reid, Building Commissioner – Marlborough, MA (lives in Wells, ME).

b. Active Member Application: Darryl McKenney, CEO – Waldoboro.  Paul Demers made a motion to approve the three new members. Dabney Lewis seconded, no one opposed, all approved. 

I. The Good and Welfare of the Association: There was a brief discussion expressing interest in getting some quotes and information from Joan Kiszely on different vendors vs. going to the same facilities every year.  If the booking has not yet been done with Dunston School House, they would prefer to go somewhere else.  They would like to look at some different places for next year’s schedule.

J. Adjournment:  Freeman Abbot made a motion to adjourn the meeting at 11:20 a.m., seconded by Paul Demers, no discussion. All approved to adjourn at 11:20 a.m.
